Terms of Service

These Terms of Service ("Terms") govern your access to and use of Reels Engine (the "Service"), operated by Voltage Holdings, LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

01Acceptance and eligibility

By registering for or using the Service, you represent that (a) you are at least 18 years of age, (b) you have the legal authority to enter into these Terms on behalf of yourself or the entity you represent, and (c) your use of the Service complies with applicable laws.

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, in which case "you" refers to that entity.

02Service description

Reels Engine is a software-as-a-service platform that helps brand operators generate, schedule, and publish short-form video content ("Reels") across multiple brands and social platforms. The Service includes content generation pipelines, cost-control mechanisms, scheduling integrations, and performance analytics.

The Service publishes content on your behalf to third-party platforms you authorize, including but not limited to TikTok, Instagram, Facebook, X (formerly Twitter), LinkedIn, and YouTube. You are responsible for compliance with each platform's terms of service and community guidelines.

03Account registration and security

To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] of any unauthorized use.

We may suspend or terminate accounts that provide false information, that we reasonably believe have been compromised, or that violate these Terms.

04Customer content and ownership

You retain all ownership rights to the content you upload, create, or generate using the Service ("Customer Content"), including brand assets, b-roll, audio, scripts, and the Reels produced. You grant Voltage Holdings, LLC a worldwide, non-exclusive, royalty-free license to host, process, transmit, modify, and display Customer Content solely as needed to provide the Service to you.

You represent and warrant that you have all necessary rights, licenses, and permissions to upload and use Customer Content with the Service, and that Customer Content does not infringe on any third-party intellectual property, privacy, or publicity rights.

You may export your Customer Content at any time. We retain your Customer Content for the duration of your active subscription plus 30 days following cancellation, after which it is permanently deleted.

05Acceptable use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right;
  • Generate, schedule, or publish content that is illegal, defamatory, fraudulent, harassing, hateful, sexually explicit, or violent;
  • Impersonate any person or entity or misrepresent your affiliation with a person or entity;
  • Infringe any patent, trademark, trade secret, copyright, right of publicity, or other intellectual property right;
  • Violate the terms of service or community guidelines of any third-party platform we integrate with, including TikTok, Instagram, Facebook, X, LinkedIn, and YouTube;
  • Generate content that mimics real individuals without their explicit consent (deepfakes, synthetic impersonation);
  • Send unsolicited commercial communications, spam, or pyramid schemes;
  • Attempt to gain unauthorized access to the Service, our systems, or other users' accounts;
  • Interfere with or disrupt the integrity or performance of the Service.

We reserve the right to investigate and remove content that violates this policy, and to suspend or terminate accounts that engage in prohibited activity.

06Third-party platform integrations

The Service integrates with third-party social platforms (including TikTok, Instagram, Facebook, X, LinkedIn, and YouTube) and third-party scheduling providers (including Metricool) to publish content on your behalf. When you authorize these integrations, you grant Reels Engine permission to act under your account on those platforms strictly for the purposes of content scheduling, publishing, and performance retrieval.

You acknowledge that each third-party platform has its own terms of service, privacy policy, and community guidelines, and that you are responsible for complying with each platform's requirements. We are not responsible for the actions, omissions, or policies of third-party platforms.

You may revoke any third-party integration at any time through your account settings or directly via the third-party platform.

07Subscription and billing

The Service is offered on a subscription basis. Current plans, pricing, and feature inclusions are published at https://reelsengine.io/pricing. Subscription fees are billed in advance on a monthly or annual basis depending on the plan you select.

AI generation costs (including charges incurred from upstream model providers such as Anthropic, OpenAI, fal.ai, and ByteDance Seedance) are included in your subscription up to per-plan caps. Usage above your plan's caps may incur overage charges, which we will disclose transparently in your billing statement and which are reflected in your account's cost ledger.

Subscription fees are non-refundable except as expressly stated in these Terms or required by applicable law. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of your then-current billing period.

We may change subscription pricing with 30 days' advance notice. If you do not agree to a price change, you may cancel before the change takes effect.

08AI-generated content disclosure

The Service uses artificial intelligence models to generate content on your behalf, including but not limited to: text generation (Anthropic Claude), image generation (OpenAI GPT-image-2, fal.ai), video generation (ByteDance Seedance, Kling), and voice synthesis (where applicable).

You acknowledge that AI-generated content may contain errors, inaccuracies, or unintended outputs. Before publishing any Reel produced by the Service, you have the opportunity (and the responsibility) to review, edit, or reject the output. By approving content for publishing, you represent that you have reviewed the content and that it accurately represents your brand and complies with applicable laws and third-party platform policies.

Where required by applicable law or third-party platform policy, you are responsible for disclosing the use of AI in generated content (for example, by adding TikTok's "AI-generated" label where applicable).

09Termination

You may terminate your account at any time through your account settings. We may suspend or terminate your account at any time for cause, including violation of these Terms, non-payment, or extended inactivity, with reasonable notice where practicable.

Upon termination, your right to access the Service ceases immediately. We will retain your Customer Content for 30 days following termination to allow export, after which it will be permanently deleted unless retention is required by law.

10Disclaimers and limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation. We do not warrant that the Service will be error-free or that defects will be corrected.

To the maximum extent permitted by law, in no event will Voltage Holdings, LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, arising out of or relating to your use of the Service.

Our aggregate liability for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the fees you paid for the Service in the twelve months preceding the claim, or (b) one hundred US dollars (US $100).

11Indemnification

You agree to defend, indemnify, and hold harmless Voltage Holdings, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your Customer Content, including any content you approve and publish via the Service; (c) your violation of these Terms; or (d) your violation of any third-party right, including intellectual property, privacy, or publicity rights.

12Governing law and dispute resolution

These Terms are governed by the laws of Wyoming, without regard to its conflict-of-laws provisions. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts.

13Changes to these Terms

We may modify these Terms from time to time. If we make material changes, we will notify you by email (to the address associated with your account) or by a prominent notice within the Service at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the modified Terms.
